Welcome to IGNITE THEORY LLC (“Company”, “we”, “our”, “us” or “DBA’s”). By using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.
1. Use of Services
You are granted a limited, non-exclusive, non-transferable license to access and use our Services for lawful business purposes only. You agree not to misuse, duplicate, resell, or reverse-engineer any part of the platform or deliverables.
2. Payment Terms & Refunds
All fees must be paid in accordance with the pricing terms provided at the time of purchase. Unless otherwise stated, payments are due upfront and are non-refundable, including in cases of early termination. We may offer refunds or credits at our sole discretion.
3. Intellectual Property
All content, software, technology, and materials provided through our Services remain the exclusive property of IGNITE THEORY LLC or its licensors. You may not use our intellectual property without express written permission. Client content and data remain the property of the client, subject to our right to use such data solely for delivering and improving services.
4. Limitation of Liability
To the fullest extent permitted by law, IGNITE THEORY LLC shall not be liable for any indirect, incidental, punitive, or consequential damages, including but not limited to lost profits, data loss, or business interruption, arising from the use or inability to use our Services.
5. Termination & Cancellation
Either party may terminate the agreement with written notice. Upon termination, access to our software and services will be revoked, and any outstanding payments will become immediately due. We reserve the right to suspend or terminate accounts in violation of these Terms.
6. Revision Policy
We strive to ensure your satisfaction with our creative and technical work. Each project may include a specified number of revisions, as detailed in your service agreement. Additional revisions may incur extra charges.
7. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles. Any legal disputes will be handled in the courts located in Colorado.
8. Modifications
We reserve the right to update or modify these Terms at any time. Changes become effective upon posting on our website. Continued use of the Services indicates acceptance of the revised Terms.
